TERMS OF USE

Wellness Worldwide AG, Chemin du Crozet 1c, 1260 Nyon, ("WW", "We") welcomes you. WW provides evidence based mental health solutions with the aim of increasing the wellbeing and productivity of employees on this platform.

WW provides this online platform "Humtastic" (the "Platform") for the purpose of enabling a selected range of wellness practitioners (the "Practitioners") to provide their wellness services (the "Wellness Services") via videoconferencing or in-person to interested users (the "Users")

  1. SCOPE OF APPLICATION

    The relationship between WW and the Users of the Platform is governed by these Terms of Use. The Terms of Use apply to the User's use of the Platform and to all services provided by WW to the User in connection with the use of the Platform and not with respect to the Wellness Services. The Terms of Use may be updated from time to time without notice. Any Terms and Conditions of the User or the Practitioners shall not apply between WW and the User.

    By visiting and using the Platform, you acknowledge that you have read, understood, and agreed to these Terms of Use and our Privacy Policy, which is hereby incorporated by reference.

    We provide Users as well as visitors of the Platform with access to the Platform as described below.

  2. THE PLATFORM AND OUR SERVICES

    1. The Platform Service

      WW provides the Platform for the purpose of enabling Practitioners to provide their Wellness Service via videoconferencing or in-person to interested Users and offers its platform services under the domain 'www.Humtastic.com'.

      The Platform services provided by WW are limited to the provision of the Platform and its features, connecting the User with the Practitioners and facilitating the payments on behalf of the practitioners and the Users ("Platform Service"). Unless explicitly indicated by WW, WW is not involved in the provision of Wellness Services or any other services provided by the Practitioners or third parties on the Platform and does not act as a therapeutic or medical company vis-à-vis the Users. WW assumes no responsibility in connection with the services, recommendations or suggestions provided on the Platform in connection with the Platform Services. WW does not account for individual health conditions or specific medical requirements. You may consider these factors, along with any advice provided by your healthcare practitioner, prior to making decisions based on the information provided on the Platform.

      The Practitioners run individual practices in various countries and offer their services (in their own name and on their own accounts) to the Users via the Platform.

      Types of Wellness Services

      Depending on the Practitioner's profile and availability, the Platform may enable access to the following formats of Wellness Services:

      • Individual sessions: one-to-one live sessions delivered online via videoconferencing or in person.
      • Group classes: live sessions delivered to multiple Users simultaneously, either online or in person. Group classes may involve interaction with other Users.
      • Structured programs: time-bound wellness programs created and delivered by selected Practitioners, which may include live sessions, digital or written resources, or weeks without live interaction. Access to program content, sessions, or resources may be time-limited, sequential, or conditional as described in the program offer prior to booking.

      The specific format, duration, content, and delivery method of any Wellness Service are determined solely by the Practitioner and displayed on the Platform prior to booking.

      WW is under no obligation to accept any individual as a User and may accept or reject any booking of a Wellness Service ("Booking") in its sole and complete discretion. In addition, WW may cancel a Booking at any time, including, without limitation, if it determines that a User has violated these Terms of Use.

    2. WW's Role in the Platform Service

      WW is not involved in the relationship between the User and the Practitioners and is not an agent, party or representative of a party, but is the sole operator of the Platform and makes this Platform available to the Practitioners and the Users.

      Any contracts between the Users and the Practitioners are concluded and fulfilled without the participation of WW. WW, its representatives, employees and auxiliary persons are in no way responsible for the risks associated with the Wellness Services and are not liable for the Practitioners' acts, omissions or any content of the communications made by them in the context of the Wellness Services.

      Please exercise the same precautions you would normally take when selecting a Practitioner during broader online searches outside of the WW Platform.

    3. Third-Party Applications

      For the ordinary provision of the Platform and the facilitation of the Wellness Services, WW and the Practitioners make use of third-party online software applications, which are applied in the course of the use of the Platform and the participation in the videoconference sessions with the Practitioners ("Wellness Service Session").

      For the purpose of scheduling and booking the available slots for Wellness Service Sessions of the Practitioners, WW embeds the online scheduling application of Calendly LLC ("Calendly"). By making use of Calendly for the booking of your Wellness Service Session you agree to the applicable Terms of Service of Calendly (calendly.com/terms). WW may make use of its own online scheduling application. For the purpose of establishing a Wellness Service Session with a Practitioner, you will need to download or make your device available with the videoconference application indicated by the Practitioner or as mutually agreed between you and the Practitioner. WW and the Practitioners are not liable and responsible for the functionality or the quality of the videoconferencing services. You are obliged to ensure the connectivity and functionality of your device designated for the use of the Platform Service and the Wellness Service Session.

      For the purposes of enabling the Payment Process on the Platform, WW makes use of the online payment tool of Stripe Inc. and/or Stripe Payments Europe Limited ("Stripe") or other payment providers in order to process your payments to WW and the Practitioners as set out in the Payment Process below. Users may make payments as provided on the Platform.

      For the purpose of hosting the data on the Platform and enabling our messaging service, we utilize the services of Cloudways Ltd., a managed cloud hosting platform provided by Cloudways Ltd., to support messaging services on our platform. This allows us to ensure reliable and efficient data hosting and communication within the Platform. Please refer to our Privacy Notice for further information on the third party applications we use.

    4. Booking Process

      In order to be able to use the Platform and make a Booking for a Wellness Service Session, you must register by providing truthful and complete data prescribed by the registration form ("Registration Information"), and actively agree to the present Terms and Conditions. You are solely responsible for the accuracy of your Registration Information.

      Please note that once registered to the Platform you can use the Platform with an alias and without disclosing your name to the Practitioners or your employer if you are using the Platform in connection with your employment.

      Subject to meeting additional registration requirements (such as completing any verification or identification processes), you can schedule a Wellness Service Session with a Practitioner via the Platform by following the respective booking and scheduling process as provided on the Platform. The Platform offers you the options to (i) either make direct Booking with a Practitioner (only with Pioneer Profile) or (ii) to place a reservation request to the Practitioner of your choice, who will confirm the Booking (if available).

      For Practitioners with Essential profiles, the confirmation of the reservation request is subject to the Practitioner completing the onboarding process with WW. Users will be notified once the Practitioner is available, and payment must then be made to secure the booking. Please note, WW does not guarantee the quality or suitability of Practitioners.

      Once your reservation request is confirmed, you may communicate with your Practitioner through the Platform's messaging feature.

      Upon completion of the booking and payment process, you will receive further information from WW confirming the Booking, which will include a link that enables you to attend the Wellness Service Session at the booked time. If you attend the Wellness Service Session in-person, the email will also provide the practitioner's address and a QR code that they are required to scan prior to the Wellness Service Session.

      Upon receipt of a Booking confirmation from WW, a legally binding agreement is formed between you and your Practitioner, including the applicable cancellation policy and any rules and restrictions specified in these Terms of Use.

      Users acknowledge that participation in group classes may involve visibility or interaction with other Users. Users acknowledge that confidentiality cannot be guaranteed in group classes beyond the Platform's technical safeguards and the conduct of other participants.

      Unless explicitly stated otherwise in the service description, Wellness Service Sessions are not recorded. Any recordings, where applicable, remain the responsibility of the Practitioner and are governed by the terms disclosed prior to booking.

      All applicable fees and prices will be presented to you prior to confirming a Booking. The prices listed in the offer at the time of the order shall apply. The prices stated are final prices, i.e. they include any applicable statutory value added tax applicable at the time of the Booking. Please note that the payment provider may apply additional charges, such as transaction fees or conversion rate commissions, which are beyond our control and not included in the prices stated. Please note that any reservation request is automatically declined if Practitioner does not approve 48h prior to the session time, and the member will be notified accordingly.

    5. Cancellation Policy

      By confirming a Booking on the Platform, you undertake to attend the Wellness Service Session with the Practitioners at the scheduled time.

      You may cancel a confirmed Booking at any time up to 24 hours prior to the scheduled Booking, and you will receive a voucher to your wallet.

      If a confirmed Wellness Service Session is canceled within 24 hours prior to the scheduled Booking hour, the booking fee will not be reimbursed.

      In the event that the Practitioner cancels a confirmed Booking or fails to show up at the scheduled time of the Wellness Service Session, you will be entitled to receive a full refund of the corresponding booking fee. The refund will be issued to you in the form of a voucher that you can use to reschedule a Wellness Service Session at a later time with any Practitioner.

    6. Corporate Users

      If you use the Platform in connection with a corporate subscription agreed to by your employer ("Corporate User"), the above outlined provisions with respect to the payment mechanism do not apply to you. The features on the Platform are customized in accordance with the agreement between WW and your employer and may include more or less features than provided to any other third party.

      Corporate Users may access the Platform to the extent agreed to between WW and their employer in accordance with a separate agreement.

  3. LAWFUL USE OF THE PLATFORM

    By accessing and/or using the Platform, you agree and warrant that you will comply with all applicable laws in your use of the Platform and Wellness Service Session and do not use the Platform and Wellness Service Session for any unlawful purpose, and that you will not interfere with or attempt to interrupt the proper operation of the Wellness Services and the Platform through the use of any virus, device, information collection or transmission mechanism, software or routine, or access or attempt to gain access to any data, files, or passwords related to the Websites through hacking, password or data mining, or any other means.

    We reserve the right, in our sole and absolute discretion, to deny you access to the Platform and the Wellness Service Sessions, or any portion of the Platform, without notice.

  4. INTELLECTUAL PROPERTY RIGHTS

    All intellectual property and other rights to the Platform are owned by WW. The Platform may contain material, such as videos, coursework, training modules, photographs, software, text, graphics, images, sound recordings, and other material provided by or on behalf of WW (collectively referred to as the "Content"). The Content may be owned by us or third parties. Unauthorized use of the Content may violate copyright, trademark, and other proprietary laws.

    Visitors and Users may view all publicly available Content for their own personal, non-commercial use. No other use is permitted without the prior written consent of WW or any other group company of WW. WW retains all right, title, and interest, including all intellectual property rights, in and to the Content. You may not sell, transfer, assign, license, sublicense, or modify the Content or reproduce, display, publicly perform, make a derivative version of, distribute, or otherwise use the Content in any way for any public or commercial purpose. The use or posting of the Content on any other website, social media page, or in a networked computer environment for any purpose is expressly prohibited.

  5. USER OR PRACTITIONER CONTENT

    Confidentiality of User Content

    Certain areas of the Platform may allow Users to share personal reflections, experiences, or messages. Such content is intended to remain confidential between the User and the intended recipient(s) within the Platform. Users should not treat the Platform as a secure medical record or emergency communication channel.

    Users are solely responsible for the information they choose to share. WW does not review such content for clinical, medical, or therapeutic purposes and cannot guarantee confidentiality beyond the technical safeguards described in the Privacy Policy. Users and Practitioners may post, upload, publish, or share content on the Platform, including forums discussions, and other interactive features. This includes, but is not limited to, professional content contributed by Practitioners, user-generated reviews, or content shared via the Platform or our associated social media channels (collectively, "User Content"). By posting User Content, you agree to comply with these Terms, and any other applicable policies or guidelines provided on the Platform.

    By posting User Content on the Platform, you grant WW a non-exclusive, perpetual, irrevocable, worldwide, royalty-free, sublicensable, and transferable license to use, view, distribute, communicate, copy, store, modify, and exploit such User Content in any manner necessary to provide or promote the Platform in any media or promotional material. By submitting User Content, you represent and warrant that:

    • you are the sole and exclusive owner of all User Content or have obtained all necessary rights, licenses, consents, and releases to grant us the rights described herein;
    • your User Content, and its posting, uploading, or publication, does not and will not:
      • infringe upon any third party's intellectual property rights, privacy rights, or publicity rights;
      • violate any applicable laws or regulations;
      • misappropriate or misuse any proprietary information or confidential content.

    WW has no obligation to monitor, review, or moderate User Content and does not endorse or take responsibility for it. Any User Content may be removed at our sole discretion at any time and for any reason.

  6. LIMITATION OF LIABILITY

    WW provides the Platform online on an "as is" basis and cannot guarantee an uninterrupted or error-free operation of the Platform. WW is also not liable for the functionality or the quality of the videoconferencing services or any other applications provided by third parties. WW excludes its liability (including the liability for its auxiliary persons, employees, suppliers and subcontractors) for all claims arising from or in connection with the use of the Platform to the greatest extent legally possible, in particular for damages due to transmission errors, technical defects, interruptions or disturbances.

    WW is not a party to the contract between the User and the Professional. WW is not liable for claims arising from or in connection with the respective treatment contracts; in particular, WW is not liable for damages which arise out of or in connection with the Wellness Services provided by a Professional or its auxiliary persons or employees. This includes any damages arising out of or in connection with marketing activities by the Professional.

  7. WARRANTIES BY THE USER

    By using the Platform and taking part of a Wellness Service Session, you confirm and warrant the following:

    • you are at least eighteen (18) years of age; if you are below eighteen (18) years of age your legal guardian agrees to the use of the Platform
    • you have the legal ability and authority to enter into these Terms of Use,
    • the Registration Information you have provided to WW is accurate and complete,
    • you will comply with any and all laws applicable to your use of the Platform,
    • you will not interfere with or disrupt WW's or its third-party applications' security measures,
    • you agree to indemnify and hold us and our officers, directors, employees, agents, successors and licensees harmless from and against any damages, liabilities, losses, expenses, claims, actions, and/or demands, including, without limitation, reasonable legal and accounting fees, arising or resulting from (i) your breach of these Terms of Use; (ii) your misuse of the Content and/or the Platform; (iii) with the User Content you make available on or through the Platform and/or (iv) your violation of any third-party rights, including without limitation any copyright, trademark, property, publicity, or privacy right,
    • if any information you provide to WW becomes inaccurate, incomplete or otherwise false or misleading, you will immediately notify WW,
    • you are physically and mentally fit to obtain and make use of the Wellness Services offered by the Practitioners via the Platform and have obtained a respective medical confirmation by your physician and doctor for the use of the Wellness Service,
    • you will not assign or transfer any rights associated with the use of the Platform to any third party, including but not limited to the registration details,
    • you acknowledge that WW does not provide any healthcare services provided through the Platform and
    • you acknowledge that the Practitioners are solely liable and responsible for complying with their local regulatory regime to provide Wellness Services.

  8. EXTERNAL LINKS

    The Platform may provide links or references to other websites that are not affiliated with WW. WW is not responsible for the content of such websites and shall not be liable for any damages or injury arising from access to such websites. Any links to other websites are provided only as a convenience to the users of this website. WW does not express an opinion on the content or the properties of such linked websites and disclaims any liability in connection therewith.

  9. DATA PROTECTION

    WW describes your data protection rights in the WW Privacy Policy.
    If you are accessing the Platform in connection with a corporate subscription, please be informed that we may forward your personal data to your employer but only limited to the purposes of billing.

  10. TRANSFER OF RIGHTS

    WW reserved the right to transfer some or all of its rights and obligations under these Terms of Use to a third party or to have them exercised by a third party.

  11. Termination

    WW may terminate or suspend your account and these Terms of Use at any time.
    You may terminate your account and these Terms of Use at any time, by contacting us at health@humtastic.com.

  12. SEVERABILITY CLAUSE

    Should individual provisions of these Terms of Use be wholly or partially void and/or ineffective, the validity and/or effectiveness of the remaining provisions or parts of such provisions shall remain unaffected. The invalid and/or ineffective provisions shall be replaced by such provisions which correspond to the meaning and purpose of the invalid and/or ineffective provisions in a legally effective manner.

  13. APPLICABLE LAW & JURISDICTION

    These Terms of Use are governed by the laws of Switzerland without regard to its conflict of laws provisions.

    Any dispute arising out of or in connection with these Terms of Use shall, unless otherwise required by law, be exclusively and finally determined by the competent courts in the Canton of Vaud.
